Her Excellency the Governor General in Council, on the recommendation of the Minister of Finance, pursuant to subsection 296(2)a and section 883b of the Insurance Companies Actc, hereby makes the annexed Prospectus (Insurance Companies and Insurance Holding Companies) Regulations.aS.C. 2005, c. 54, s. 272bS.C. 2005, c. 54, s. 349cS.C. 1991, c. 47Prospectus

1(1)The information to be disclosed prior to a distribution of securities is to be set out in a prospectus and is to include the contents required for a prospectus under any legislation set out in column 2 of the schedule.(2)The procedure for the disclosure of information required for a distribution of securities is to be the procedure for a disclosure by prospectus that is required for a distribution of securities under any legislation set out in column 2 of the schedule.(3)The disclosure of information required for a distribution is to be in the form required for a prospectus under any legislation set out in column 2 of the schedule.

2A prospectus filed under any legislation set out in column 2 of the schedule is to comply with the requirements set out in that legislation.

Exemption

3A person that is subject to an exemption from any or all prospectus requirements under any legislation set out in column 2 of the schedule, or to an order of the relevant provincial securities regulator, is also exempt from those requirements for the purposes of these Regulations.
